These Terms of Service (“Terms”) govern your access to and use of IR Analyzer, operated by Decus PTE. LTD. (“we,” “us,” or “our”).

By creating an account, accessing the website, or using the service, you agree to these Terms. If you do not agree, do not use the service.

1. Service Description

IR Analyzer is a web application that generates AI-assisted equity research reports based on public company information, including SEC EDGAR filings, XBRL data, and 10-K or 10-Q filings. The app’s public page describes the service as “US Equity Research powered by SEC EDGAR & DeepSeek” and as generating structured research reports from public filings. See: IR Analyzer.

The service may allow users to enter a ticker, configure report settings, and generate an automated research report.

2. Eligibility

You must be legally able to enter into these Terms to use the service.

You may not use the service if:

You are prohibited from doing so under applicable law
You are subject to sanctions or trade restrictions that prohibit use
You intend to use the service for unlawful, deceptive, abusive, or unauthorized purposes

If you use the service on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration

To use certain features, you may need to create an account using your email address.

You agree to:

Provide accurate account information
Keep your login credentials secure
Not share your account with unauthorized users
Notify us promptly if you suspect unauthorized access
Be responsible for activity under your account

We may suspend or terminate accounts that violate these Terms or create security, legal, operational, or reputational risk.

4. Monthly Usage Limit

Each registered user may generate up to 30 reports per calendar month, unless a different limit is stated in your plan, account page, or written agreement with us.

We may count a report generation when:

A user submits a ticker or report request
The system begins processing the request
A report is generated, whether or not the user later downloads, reads, or uses it

We may implement technical controls to enforce usage limits. Unused report generations do not roll over to future months unless we expressly state otherwise.

We reserve the right to change usage limits, introduce paid plans, or restrict excessive use with reasonable notice where practicable.

5. No Investment Advice

The service is for informational and research-assistance purposes only.

IR Analyzer does not provide:

Investment advice
Financial advice
Trading advice
Tax advice
Legal advice
Accounting advice
Broker-dealer services
Investment advisory services
Securities recommendations
Ratings, endorsements, or guarantees regarding any security, issuer, fund, asset, or strategy

You are solely responsible for your own investment decisions. You should conduct independent research and consult qualified professional advisers before making financial, investment, tax, legal, or accounting decisions.

6. AI-Generated Output

Reports generated by the service may be produced using automated systems, AI models, data extraction tools, and third-party APIs.

You understand and agree that AI-generated output may:

Be inaccurate
Be incomplete
Be outdated
Misinterpret financial statements or filings
Contain calculation, reasoning, translation, formatting, or citation errors
Omit material information
Reflect limitations in source data or model behavior

You must independently verify all outputs before relying on them.

We do not guarantee that any report is accurate, complete, current, suitable for your purpose, or free from errors.

7. Public Filing Data

The service may use public company filings and other public data sources. We do not control public data sources and are not responsible for their accuracy, availability, completeness, formatting, or timeliness.

The presence of a company, ticker, filing, metric, or report in the service does not mean that we endorse, recommend, rate, or have any view on that company or security.

8. User Responsibilities

You agree not to:

Use the service for unlawful purposes
Use the service to make decisions without independent verification
Submit confidential, insider, proprietary, or material non-public information
Attempt to reverse engineer, scrape, overload, or disrupt the service
Circumvent usage limits or account restrictions
Create multiple accounts to avoid the 30 reports/month limit
Share, resell, sublicense, or commercially exploit the service except as permitted by us
Use automated bots, scripts, or crawlers without our written permission
Upload malware, harmful code, or abusive content
Violate intellectual property, privacy, securities, export control, or other applicable laws
Misrepresent AI-generated reports as human-authored professional advice

9. Prohibited Financial Uses

You may not use the service:

As the sole basis for investment decisions
To provide regulated investment advice without required licenses
To mislead clients, investors, counterparties, or regulators
To create or distribute fraudulent, manipulative, or deceptive financial content
To support insider trading, market manipulation, or other unlawful trading activity
In violation of securities laws, financial regulations, or exchange rules

10. User Content

You retain ownership of inputs you submit to the service, subject to the rights you grant us under these Terms.

By submitting content, tickers, configurations, prompts, or other inputs, you grant us a worldwide, non-exclusive, royalty-free license to use, process, transmit, store, reproduce, and display that content as necessary to operate, maintain, secure, and improve the service.

You represent that you have the necessary rights to submit any information you provide.

11. Generated Reports

Subject to your compliance with these Terms, you may use generated reports for your internal research, analysis, and business purposes.

Unless otherwise agreed in writing, you may not:

Resell generated reports as a standalone product
Present reports as professional investment advice from us
Remove disclaimers or attribution where included
Use reports to mislead others about their source, reliability, or review status
Claim that we endorse your conclusions, products, funds, strategies, or investment decisions

12. Intellectual Property

We and our licensors retain all rights, title, and interest in the service, including software, design, workflows, prompts, models, templates, branding, documentation, and other proprietary materials.

These Terms do not grant you ownership of the service or any underlying technology.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the service except as permitted by applicable law or with our written consent.

13. Third-Party Services

The service may rely on third-party services, including hosting providers, AI model providers, data providers, analytics tools, authentication providers, and infrastructure vendors.

We are not responsible for third-party services, their availability, their terms, their outputs, or their handling of information, except as required by applicable law.

Your use of the service may be affected by third-party outages, rate limits, policy changes, model changes, or data availability.

14. Availability and Changes

We may modify, suspend, or discontinue the service, in whole or in part, at any time.

We do not guarantee that the service will be:

Available at all times
Error-free
Uninterrupted
Secure from all threats
Compatible with all browsers, devices, or systems
Capable of generating reports for every ticker, issuer, filing, or request

We may change features, report formats, usage limits, data sources, AI providers, or technical infrastructure over time.

15. Beta and Experimental Features

Some features may be experimental, beta, preview, or under active development.

Beta features may be unstable, inaccurate, incomplete, or discontinued without notice. You use beta features at your own risk.

16. Fees and Paid Plans

The service may initially be offered for free, with a monthly report-generation limit.

We may later introduce paid plans, subscriptions, usage-based pricing, enterprise plans, or other commercial terms.

If we introduce paid features, applicable fees, billing cycles, cancellation terms, and refund policies will be disclosed at or before purchase.

17. Suspension and Termination

We may suspend or terminate your access if:

You violate these Terms
You create security, legal, operational, or reputational risk
Your usage is abusive, excessive, automated, or harmful
We are required to do so by law
We discontinue the service
Your account is inactive for an extended period

You may stop using the service at any time.

Upon termination, your right to use the service ends immediately. Certain provisions of these Terms will survive termination, including disclaimers, limitations of liability, intellectual property terms, indemnity, and dispute provisions.

18. Disclaimers

The service and all generated reports are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of:

Completeness
Reliability
Timeliness
Merchantability
Fitness for a particular purpose
Non-infringement
Availability
Security
Suitability for investment or professional use

We do not warrant that the service will meet your requirements or that outputs will be correct, complete, or suitable for any financial, investment, legal, tax, accounting, regulatory, or commercial purpose.

19. Limitation of Liability

To the fullest extent permitted by law, we will not be liable for:

Investment losses
Trading losses
Lost profits
Lost revenue
Lost data
Business interruption
Reputational harm
Indirect, incidental, special, consequential, exemplary, or punitive damages
Decisions made in reliance on generated reports
Errors, omissions, or inaccuracies in AI-generated output or public data
Third-party service failures or data-source issues

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the service or these Terms will not exceed the greater of:

The amount you paid us for the service in the three months before the claim arose; or
USD 100

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

20. Indemnity

Your violation of these Terms

21. Compliance With Laws

You are responsible for complying with all laws and regulations applicable to your use of the service, including securities laws, financial regulations, data protection laws, export control laws, and professional licensing requirements.

You must not use the service in any jurisdiction or manner where such use would be unlawful.

22. Governing Law

These Terms are governed by the laws of Singapore, without regard to conflict-of-law principles, unless another governing law is required by applicable consumer protection law.

23. Dispute Resolution

The parties will first attempt to resolve disputes informally by contacting each other.

If a dispute cannot be resolved informally, the courts of Singapore will have exclusive jurisdiction, unless applicable law requires otherwise.

You and we waive any right to participate in a class action or representative proceeding to the fullest extent permitted by law.

24. Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we may notify you by email, in-app notice, or by posting updated Terms on the website.

Your continued use of the service after updated Terms become effective means you accept the revised Terms.
